Terms of Service

Last updated: January 1, 2026. These Terms of Service govern your use of WebBridgeHub and constitute a binding agreement between you and WebBridgeHub, Inc.

1. Acceptance of Terms

By accessing or using the WebBridgeHub platform and services (the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use our Services. WebBridgeHub reserves the right to modify these Terms at any time. Continued use of the Services after modifications constitute acceptance of the updated Terms. We encourage you to review these Terms regularly.

2. Definitions and Eligibility

"Customer" refers to you, the organization or individual accepting these Terms. "End-Users" are individuals authorized by Customer to use the Services. "Content" includes all data, workflows, credentials, and information processed through the Services. "Sensitive Data" includes credentials, authentication tokens, and personal information. You represent that: (a) you have the legal authority to enter into this agreement; (b) you are at least 18 years old (or the applicable age of majority in your jurisdiction); and (c) your use of the Services complies with all applicable laws and regulations.

3. Services and License Grant

WebBridgeHub grants you a limited, non-exclusive, non-transferable license to access and use the Services for your business purposes in accordance with these Terms and your subscription agreement. This license does not permit you to: (a) sublicense, sell, rent, lease, transfer, or otherwise commercialize the Services; (b) reverse engineer, decompile, or attempt to derive source code; (c) remove or obscure proprietary notices; (d) use the Services to develop competing products; (e) use the Services for unlawful purposes; or (f) use the Services in any manner that violates these Terms or applicable law. All rights not expressly granted are reserved to WebBridgeHub.

4. User Responsibilities and Prohibited Conduct

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree not to: (a) access the Services through automated means (bots, scrapers) without authorization; (b) interfere with, disrupt, or attack our infrastructure; (c) attempt to gain unauthorized access to restricted areas; (d) transmit viruses, malware, or malicious code; (e) use the Services to harass, threaten, or harm others; (f) create workflows that violate third-party terms of service or intellectual property rights; (g) engage in phishing, fraud, or other deceptive practices; or (h) store or process data subject to strict regulatory restrictions (PII, HIPAA, PCI-DSS) without prior written authorization from WebBridgeHub. Violation of this section may result in immediate account suspension.

5. Intellectual Property Rights

WebBridgeHub owns all intellectual property rights in the Services, including software, interfaces, features, documentation, and improvements. The Services are protected by copyright, trademark, and other intellectual property laws. You retain ownership of Content you create, but grant WebBridgeHub a worldwide license to use, reproduce, and display your workflows and aggregated usage data to improve our Services. You represent that you own or have the right to use all Content you submit and that it does not infringe any third-party rights. WebBridgeHub respects intellectual property rights and responds to valid DMCA takedown notices. Submit notices to: [email protected].

6. Payment Terms and Subscription

Pricing and billing terms are set forth in your subscription agreement or invoice. Fees are due in accordance with your billing cycle (monthly, annual, or as specified). Payment must be made by valid credit card, wire transfer, or other approved method. Failed payments may result in suspension of Services. You are responsible for maintaining accurate billing information. Refunds are not provided for partial-month usage unless required by law or our subscription agreement. Usage charges are calculated based on the number of workflow steps executed. You may monitor usage through your dashboard and set monthly cost caps if desired. Price changes will be communicated in advance and require acceptance before the effective date.

7. Warranty Disclaimer and Limitation of Liability

THE SERVICES ARE PROVIDED "AS-IS" AND "AS-AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WEBBRIDGEHUB DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WEBBRIDGEHUB SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. Our total liability for any claim arising from these Terms or your use of the Services shall not exceed the fees you paid in the 12 months preceding the claim. Some jurisdictions do not permit these limitations; where prohibited, liability is limited to the extent permitted by law.

8. Indemnification

You agree to indemnify, defend, and hold harmless WebBridgeHub and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Services; (b) your Content or workflows; (c) your violation of these Terms or applicable law; (d) your infringement of third-party rights; or (e) any unauthorized access to third-party systems using the Services. WebBridgeHub will provide prompt notice of any such claim and reasonable cooperation in your defense.

9. Data Security and Incident Response

WebBridgeHub maintains industry-standard security measures to protect your data. However, you acknowledge that no system is entirely secure. You are responsible for: (a) encrypting Sensitive Data before uploading; (b) implementing strong access controls within your organization; (c) monitoring workflow execution and audit logs. If WebBridgeHub discovers a data security incident that may affect your account, we will notify you without unreasonable delay. You agree to cooperate fully in our investigation and to follow our incident response procedures. Incident notifications will be sent to the email address associated with your account. WebBridgeHub's liability for security incidents is subject to the limitation of liability clause above.

10. Suspension and Termination

WebBridgeHub may suspend or terminate your account: (a) immediately, without notice, if you violate these Terms or engage in prohibited conduct; (b) for non-payment after 15 days' notice and 30-day cure period; (c) if required by law; or (d) for any reason upon 30 days' written notice and refund of pre-paid fees for the remainder of your subscription term. You may terminate your subscription at any time by providing written notice. Upon termination, your license is revoked, your account is deactivated, and your data is retained for 30 days in accordance with our Privacy Policy. Data deleted by you is purged immediately and cannot be recovered.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any dispute arising from these Terms or your use of the Services shall first be subject to good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration under JAMS rules in San Francisco, California. Each party waives the right to jury trial and class action. You agree to arbitrate claims on an individual basis, not as part of any class action or representative proceeding. To initiate arbitration, send written notice to: [email protected]. The prevailing party in arbitration shall be entitled to recover reasonable attorneys' fees.

12. Miscellaneous Provisions

If any provision of these Terms is invalid or unenforceable, the remaining provisions shall continue in effect. WebBridgeHub's failure to enforce a provision does not constitute a waiver of that provision. These Terms, together with your subscription agreement and Privacy Policy, constitute the entire agreement between you and WebBridgeHub. You may not assign these Terms without our written consent, but WebBridgeHub may assign these Terms to an affiliate or successor. Any such assignment is binding on you.
